Terms of use

These Terms of Use ("Terms of Use") apply to the use of Sandbox environment, which is the website and Sandbox Configuration Center that Ingenico ePayments provides to (prospective) clients for test purposes. The Ingenico ePayments company providing the Sandbox environment, Global Collect Services B.V., is established in Planetenweg 43-59, 2132 HM Hoofddorp, the Netherlands.

By registering for, accessing and using the Sandbox environment in any way whatsoever, you accept to be bound by these Terms of Use, and become a User ("User"). After registration is complete, you will receive an e-mail with a one-time password reset link for the sandbox version of the Configuration Center.

If you do not agree to these terms and conditions, you must immediately cease your use of the Sandbox environment.

Article 1 Use of the Sandbox environment

1.1

The User must comply with these Terms of Use. The use of the Sandbox environment is for User's own account and risk, including but not limited to any technical facilities required in order to be able to use the Sandbox environment, such as hardware, an internet connection and any other (telecom) facilities necessary for the use of the Sandbox environment. User may only use non-live data. Any accounts or transaction made on the Sandbox environment are not real.

Nothing in these Terms of Use are intended to transfer any Intellectual Property Rights to User. Ingenico ePayments grants the User a restricted, personal, revocable, non-exclusive, non-sub-licensable, non-transferable right to use the Sandbox environment for the following purposes only: to obtain information about the integration with Ingenico ePayments and the services Ingenico ePayments offers and (ii) to access API keys in order to establish the integration with Ingenico ePayments and (iii) to modify the payment pages (if hosted by Ingenico ePayments).

Any other (non-) commercial use of the Sandbox environment is expressly excluded.

1.2 Notwithstanding any other provisions, in using the Sandbox environment the User may not:
a. use viruses, Trojan horses, worms, bots, or any other software that can damage, make unavailable or inaccessible, erase, appropriate an automated work or data, or that are meant to bypass technical security measures of the Sandbox environment and/or other computer systems of Ingenico ePayments;
b. act contrary to any applicable law;
c. act contrary to these Terms of Use; and/or
d. act in any other way unlawful towards Ingenico ePayments.
1.3 Ingenico ePayments shall deactivate and delete any data held on the User Account after ninety (90) days of inactivity. User further agrees that Ingenico ePayments shall not be liable to User nor to any third party for any termination of User access to Sandbox environment or deletion of User Data.

Article 2 Liability and Indemnification

2.1 Ingenico ePayments, our parent, subsidiaries, employees and our suppliers will in no event be liable for loss of profits or any special, incidental or consequential damages arising out of or in connection with the Sandbox environment or this Agreement. Any such liability arising, whether based upon breach or tort, is limited to compensating direct damages, up to at most the amount of EUR 100.- (one hundred euro) per event (a series of connected events considered one event). In no event shall Ingenico ePayments's total and aggregate liability for direct damages exceed EUR 1,000.- (one thousand euro).
2.2 The User will indemnify Ingenico ePayments against all third party claims on any ground whatsoever, resulting from or related to the use of the Sandbox environment.

Article 3 Term & Termination

3.1 This Agreement shall remain in force as long as access to APIs and Data Files are available through Sandbox environment, unless replaced or terminated as provided under this Agreement.
3.2 Ingenico ePayments may immediately terminate this Agreement without formalities in case of breach by the User of any of its obligations set forth herein.

Article 4 Disclaimer

THE SANDBOX ENVIRONMENT, CONTENT AND TOOLS ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, COMPATABILITY AND NONINFRINGEMENT. INGENICO EPAYMENTS DOES NOT WARRANT THAT THE SANDBOX ENVIRONMENT AND/OR ANY CONTENT OR TOOLS WILL BE ERROR-FREE, THAT ACCESS THERETO WILL BE UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY API (OR THE SERVERS THAT MAKE SUCH CONTENT AVAILABLE) OR TOOL IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OF TOOLS OR ANY CONTENT MADE AVAILABLE THROUGH THE SANDBOX ENVIRONMENT. YOU HEREBY WAIVE ANY CLAIM AGAINST US WITH RESPECT THERETO.

Article 5 Miscellaneous

5.1 These Terms of Use are governed by and construed in accordance with the laws of The Netherlands. All disputes resulting from or arising out of these Terms of Use shall exclusively be submitted to the competent court in Amsterdam, The Netherlands.
5.2 Cookies may be used in order to improve the Sandbox environment. The cookies used do not collect personal data, and they are not used to determine your identity. Cookies may be used to record details of pages relating to content and tools that you have accessed on the Sandbox environment. This is to provide us with generic usage statistics to allow us to improve the Sandbox environment and to provide you with information that may interest you.
5.3 Ingenico ePayments and User shall take reasonable safeguards for the protection, confidentiality, and integrity of personal data in accordance with Ingenico ePayments ’s privacy statement for Sandbox environment.
5.4 Ingenico ePayments may amend, update or supplement these Terms of Use. If any modification to these Terms of Use significantly alters User's rights or obligations, Ingenico ePayments will notify User by means of a message on the Sandbox environment. Any continued use of the Sandbox environment by User will subsequently constitute acceptance of the Terms of Use (as amended).
